HeyNora - Real-time co-pilot and tutor for making music

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HeyNora, Inc. ("HeyNora," "we," "our," or "us") governing your access to and use of the HeyNora website, mobile application, and audio mix feedback service (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the Service.

2. Service Description

HeyNora provides an AI-powered audio mix feedback service designed to analyze audio files and provide feedback, suggestions, and insights to help improve your music production and mixes. Our Service may include:

Real-time audio analysis and feedback
Conversational interface for discussing mix improvements
Detailed reports on audio characteristics
Recommendations for mixing techniques
Educational content related to music production

3. User Accounts

To access certain features of the Service, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Content and Rights

4.1 User Content

The Service allows you to upload, submit, store, send, and receive audio files and other content ("User Content"). You retain all rights in, and are solely responsible for, the User Content you upload to the Service.

4.2 License to HeyNora

By submitting User Content to the Service, you grant HeyNora a worldwide, non-exclusive, royalty-free license to use, copy, modify, process, analyze, publicly perform, publicly display, and distribute your User Content for the purposes of operating and improving the Service, including training our AI models. This license continues even if you stop using our Service, but only to the extent necessary to provide the Service to other users and improve our AI capabilities.

4.3 Feedback

If you provide feedback, ideas, or suggestions related to our Service ("Feedback"), you acknowledge that the Feedback is not confidential and that we may use it without restriction and without compensation to you.

5. Acceptable Use

You agree not to use the Service to:

Upload or transmit any User Content that infringes upon another person's intellectual property rights
Upload or transmit any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service
Engage in any activity that could damage, disable, overburden, or impair the Service
Use automated means, including spiders, robots, crawlers, or similar technologies, to access the Service
Collect or harvest any information about other users without their consent

6. Intellectual Property Rights

The Service and its contents, features, and functionality, including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, are owned by HeyNora, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in the Service or its content. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as permitted by these Terms.

7. Subscription and Payment

We offer both free and paid subscription plans for the Service. By subscribing to a paid plan, you agree to pay all fees applicable to your subscription. We may modify the subscription fees at any time, but any change will not affect your current subscription period.

All payments are processed through secure third-party payment processors. You agree to provide accurate and complete payment information and authorize us to charge your chosen payment method for the subscription fees.

Unless otherwise specified, subscriptions automatically renew for additional periods equal to the expiring subscription term. You can cancel your subscription at any time through your account settings or by contacting us. If you cancel, you may continue to use the subscription until the end of your current billing period, but you will not receive a refund for any fees already paid.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HEYNORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

HEYNORA DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HEYNORA, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO HEYNORA FOR THE SERVICE IN THE PAST SIX MONTHS, OR, IF YOU HAVE NOT PAID HEYNORA FOR THE USE OF THE SERVICE, $100.

10. Indemnification

You agree to defend, indemnify, and hold harmless HeyNora, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
